What is a pay less notice?

A pay less notice is a formal document issued by a payer (typically a main contractor or employer) when they intend to pay less than the sum in a payee's payment application or payment notice. It sets out the reduced sum and the basis for each deduction.

Under the Housing Grants, Construction and Regeneration Act 1996 (the Construction Act), as amended, payers have a prescribed window to issue a pay less notice before the final date for payment. The deadline is set by the contract. In the absence of a contractual provision, the Scheme for Construction Contracts requires the notice to be served no later than 7 days before the final date for payment.

If a valid pay less notice is not served in time, the payer is legally obligated to pay the notified sum in full, even if they dispute the value of the work. This is one of the most costly procedural failures in construction commercial management.

To be valid, the notice must identify the sum the payer considers to be due and the basis on which that sum is calculated. A notice that omits these details may be treated as no notice at all.

Pay less notice deadlines are calculated from the assessment date and the final date for payment. Across multiple packages these are all different. Missing one means paying the applied-for sum in full.

Notices issued in the wrong format

A pay less notice that does not identify the sum it relates to, or does not state the basis for the difference, may not be valid under the Construction Act. A poorly drafted notice is almost as bad as no notice.

No evidence at adjudication

When a payment dispute reaches adjudication, you need to show that a valid notice was served on time. Informal emails and spreadsheets rarely provide the clarity needed under cross-examination.
